These Terms and Conditions (“Terms”) govern your access to and use of the services provided by JUST-MINING (“Company,” “we,” “us,” or “our”), located at La Grange aux Bois, 5 Rue du Pré Chaudron, 57070, Metz, Grand Est, France. By accessing or using our website and services (collectively, the “Platform”), you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.

1. Acceptance of Terms

1.1 Agreement

By registering an account with JUST-MINING, you agree to comply with these Terms and all applicable laws and regulations, including but not limited to the French Consumer Code (Code de la consommation) and the General Data Protection Regulation (GDPR, Regulation (EU) 2016/679). Your continued use of the Platform constitutes your acceptance of any modifications to these Terms.

1.2 Modification of Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on the Platform, and your continued use of the services signifies your acceptance of those changes. We will notify you of significant changes via email or through prominent notices on the Platform.

1.3 Legal Age

You affirm that you are at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility and Account Management

2.1 Account Creation

To use certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

2.2 Single Account Policy

Each User is permitted to create only one account. Any attempt to create multiple accounts may result in the suspension or termination of all accounts and forfeiture of any funds. If you suspect that another person has gained access to your account, you must notify us immediately.

2.3 Compliance and Verification

JUST-MINING reserves the right to conduct identity verification (KYC) and compliance checks as required by law, including but not limited to the Anti-Money Laundering (AML) regulations under the French Monetary and Financial Code (Code monétaire et financier, Article L561-1 et seq.). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Failure to do so may result in account suspension or termination.

2.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account at our discretion for any reason, including but not limited to violation of these Terms, illegal activities, or failure to provide requested documentation during verification.

3. Private Transactions and Investment Policies

3.1 Nature of Transactions

All investments made through the Platform are private transactions between JUST-MINING and the Investor. These transactions do not constitute public offerings and are exempt from registration under applicable securities laws, including the French Monetary and Financial Code and the EU Prospectus Regulation (Regulation (EU) 2017/1129). You acknowledge that these investments carry inherent risks and are subject to the terms outlined herein.

3.2 Investment Terms

By investing, you agree to the terms of the selected investment plan, which may include specific rates of return, timeframes, and conditions for withdrawals. You acknowledge that all investments are final and cannot be altered after the transaction is completed. The investment plan details, including potential risks and expected returns, will be made available on the Platform. You agree to review these details carefully prior to investing.

3.3 Risk Disclosure

You acknowledge and accept that all investments carry inherent risks, including the risk of total loss. JUST-MINING does not guarantee any specific investment return or capital preservation. Past performance is not indicative of future results, and you should only invest funds that you can afford to lose. We recommend consulting with a financial advisor before making any investment decisions. As per the French Financial Markets Authority (AMF) guidelines, you should be aware that the value of investments may fluctuate, and you may not get back the amount originally invested.

3.4 Accruals and Withdrawals

Earnings are credited to your account based on the chosen investment plan. Withdrawals may be subject to fees and specific conditions outlined in your investment agreement. You are responsible for any applicable taxes or charges that may arise from your investments. The withdrawal process may take a specified period as detailed in your investment plan.

3.5 Referral Programs

If applicable, referral programs may be offered as part of the services. Referral commissions will be paid based on the specific conditions outlined in the referral program. You agree to comply with all referral program terms and to avoid any fraudulent or misleading practices. Any misuse of the referral program may result in immediate termination of your account.

4. Fees and Charges

4.1 Service Fees

JUST-MINING may charge fees for various services, including but not limited to transaction fees, maintenance fees, and withdrawal fees. These fees will be disclosed in advance and are subject to change. You will be notified of any changes to the fee structure prior to their implementation. Such notifications will be sent via email or displayed prominently on the Platform.

4.2 Notification of Changes

We will notify you of any changes to our fee structure via email or through announcements on the Platform. Your continued use of the services after such notifications constitutes your acceptance of the new fee structure.

4.3 Refund Policy

All fees paid are non-refundable, except as mandated by applicable law or specified in these Terms. If a refund is applicable, it will be processed according to the methods outlined in our refund policy.

5. Privacy and Data Protection

5.1 Data Protection Compliance

JUST-MINING complies with applicable data protection laws, including the General Data Protection Regulation (GDPR, Regulation (EU) 2016/679), which governs the processing of personal data of EU residents. We are committed to protecting your privacy and ensuring your personal data is handled responsibly and securely.

5.2 Data Collection and Use

Your personal information will be collected, processed, and stored in accordance with our Privacy Policy. By using our services, you consent to the processing of your data as described therein. We will collect information necessary to operate our services and comply with legal obligations, including KYC and AML regulations.

5.3 Third-Party Disclosure

We do not sell or rent your personal information to third parties. Your data may be shared with third parties only as necessary to provide our services, comply with legal obligations, or protect our rights. Any such sharing will be conducted in accordance with applicable data protection laws.

6. Prohibited Activities

6.1 General Prohibitions

You agree not to engage in any of the following prohibited activities:

• Using the Platform for illegal activities, including money laundering or terrorist financing, as outlined in the French Monetary and Financial Code (Article L561-1 et seq.).
• Violating any applicable law or regulation, including but not limited to the French Penal Code concerning fraud and deception (Code pénal, Article 313-1 et seq.).
• Engaging in any form of harassment, spamming, or unauthorized advertising.
• Circumventing any security measures or restrictions placed on the Platform.
• Disrupting or interfering with the operation of the Platform or the services provided therein.

6.2 Intellectual Property Rights

All content on the Platform, including text, graphics, logos, and software, is the property of JUST-MINING or its licensors and is protected by intellectual property laws, including the French Intellectual Property Code (Code de la propriété intellectuelle). Unauthorized use of any content may result in legal action. You may not reproduce, distribute, or create derivative works from any content without our express written consent.

6.3 Feedback and Suggestions

Any feedback, comments, or suggestions you provide regarding the Platform or our services will be deemed non-confidential. We shall be free to use such feedback without any obligation to you, as stated in the French Civil Code (Code civil, Article 1111-1 et seq.).

7. Indemnification and Limitation of Liability

7.1 Indemnification

You agree to indemnify, defend, and hold harmless JUST-MINING, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform or your breach of these Terms. This includes any claims arising from your violation of any rights of another party or any applicable laws.

7.2 Limitation of Liability

To the fullest extent permitted by law, JUST-MINING shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or use, arising out of or related to your use of the Platform, even if JUST-MINING has been advised of the possibility of such damages. Our total liability to you for any claims arising out of these Terms shall not exceed the amount you paid to JUST-MINING in the twelve (12) months preceding the claim, as provided under the French Civil Code (Article 1231-1 et seq.).

7.3 Warranty

JUST-MINING is a regulated and registered company with a valid PSAN number (Numéro d’Enregistrement des Prestataires de Services sur Actifs Numériques), demonstrating our compliance with the French regulatory framework for digital assets. We strive to comply with all relevant laws and regulations applicable to our services. However, we provide the Platform on an “as-is” and “as-available” basis without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. While we take reasonable measures to maintain the Platform's functionality, we do not warrant that the Platform will be uninterrupted or error-free.

8. Dispute Resolution

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Metz, Grand Est, France, for any disputes arising out of these Terms.

8.2 Arbitration Agreement

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration in accordance with the rules of the Centre de Médiation et d’Arbitrage de Paris (CMAP). The arbitration shall take place in Metz, France, and shall be conducted in French unless otherwise agreed upon.
